I am looking for someone to draft an agreement between my business and a client.
As a business we sell automated financial software.
We offer a package where anyone can purchase our software but with the branding changed from our business name to theirs. They do not receive the actual source code of the software, but the end file. Similar to how we receive the app instagram but not the actual source code behind the app. This allows them to go on and sell the end file/software to whoever they wish disguised under their brand name instead of ours.
So you could say it's a whitelabel. Our software, their branding.
The reason I want an agreement in place is because in addition to providing them with the software, we are also creating them their own licensing server. This then allows them to sell the software to their clients and control how their clients use it. Just like how we do today with our clients. We can restrict expiry dates and so on.
The thing is once this licensing server is created for them and the software delivered, we lose all control of what the client does next.
For example, we deliver the licensing server and software and one week late the client wants to do a chargeback on the payment they've made. Now we have lost the software entirely. We have taken a 50% deposit so far whilst we build everything for them. With the other 50% being paid on delivery.
We also want a clause to say we will provide 6 months free technical support and help beyond this will be charged at an agreed fee.
And a clause to say we are not liable for how they wish to advertise or sell the software. Since it has no relation to us.
And anything else someone with a legal background can think of.
